VP, Corporate Affairs & Legal Vacancy: a Leading Multimedia Co.

JCI Executive Search International's client, a holding company that has license in multimedia business and value added service and the new development of application service, is currently seeking for the following position:

VICE PRESIDENT, Corporate Affairs & Legal
based in Jakarta Indonesia

KEY BUSINESS/CLIENT GROUP

This position will ensure all directorate administration matters, internally and externally, are effectively managed. Reports to President Director.

PURPOSE OF JOB

This position will involve taking responsibility for all activities associated with the day-to-day directorate administrative activities to meet Management and Shareholder requirements.

MAJOR ACCOUNTABILITIES
• Ensure directorate administration matters are delivered in line with agreed controls and procedures
• Ensure corporate events are planned and executed effectively
• Maintain & control the distribution of Company's standard policies and procedures
• Ensure company legal and compliance matters are delivered in line with agreed controls and procedures
• Provide legal advice and opinions on all aspects of company's operations as to minimize liability and ensuring that the company's business complies with the requirements of all statutory and regulatory bodies

SUCCESS METRICS
• Effective administration of company's formal documents
• Response time to directorates' inquiries regarding company's documents
• Smooth running of corporate events
• Number and cost of legal/compliance disputes
• Cycle time in providing legal advice

KEY RESPONSIBILITIES/ ACTIVITIES
• Manage external communications, i.e. the inflow and outflow of information between the Company and external stakeholders, such as Government, Community and Investors
• Manage internal communications as related to formal Directorates' announcements
• Manage formal corporate events (e.g. annual meetings)
• Represents the organization on governmental or non governmental organizations and committees
• Manage and maintain company's formal documentations and archives, including company policies and procedures
• Develops and performs preventive law programs, includes developing written materials, participating in business area seminars, and meeting informally with business unit managers to discuss legal guidelines related to business operations
• Ensure compliance with regulations : ensuring that organization is in compliance with current and
anticipated laws, regulations, and industry standards
• Coordinates and develops outside counsel relationships for the organization. Involves managing the selection and retention process, monitors the quality of legal work product, works jointly with outside counsel on specific matters
• Reviews and document agreements/ contracts
• Protects intellectual property
• Provides legal advice/ counseling, evaluates and advises on the legal risk associated with business
opportunities. This includes understanding the implications of business activities
• Resolves disputes/ litigation by preparing for and participating in the resolution process of disputes, also involves in evaluating alternative dispute resolution techniques, early case analysis,
coordinating with outside counsel, and negotiating final settlements and agreements

QUALIFICATIONS AND EDUCATION
- Undergraduate degree in law
- Approx 5 years of corporate secretary experience, which ideally includes:
- Experience in high technology sector/ telecom/ media
- Excellent verbal and written communication skills
- Ability to communicate appropriately with all levels of management and staff
- Strong organizational, problem-solving, and analytical skills; able to manage priorities, workflow and multitask
- Good judgment with the ability to make timely and sound decisions
- Working knowledge of data collection, data analysis and evaluation
- Versatility, flexibility, and a willingness to work within constantly changing priorities with enthusiasm
- Actions reflect a high degree of integrity and ethics
